Terms of Service
These Terms of Service ("Terms") govern your use of the Shopify applications published by Veltrio Labs LLC ("Veltrio Labs", "we", "us"), including Replenio (each, an "App"). By installing or using an App, you agree to these Terms on behalf of yourself and the business you represent.
1. The service
Each App is provided as a subscription service that runs inside your Shopify store. We may improve, modify, or discontinue features over time. We will make reasonable efforts to give advance notice of changes that materially reduce an App's functionality.
2. Subscriptions and billing
- Subscriptions are billed through Shopify's billing system and appear on your regular Shopify invoice. We do not collect your payment details.
- Plans renew automatically each billing cycle until you cancel by uninstalling the App or downgrading from within the App or your Shopify admin.
- Plan limits and prices for each App are listed on its page on this website and on its Shopify App Store listing.
3. Free trial
Each paid plan includes a 14-day free trial, starting when you approve the subscription charge. If you uninstall the App before the trial ends, you will not be charged. If you reinstall an App, any remaining trial days are applied according to Shopify's billing rules.
4. Refunds
Because billing is processed by Shopify, refunds and billing adjustments are handled in accordance with Shopify's billing policies. If you believe you were charged in error, contact us at support@veltriolabs.com and we will work with you and Shopify to resolve it.
5. Your responsibilities
- You are responsible for the accuracy of the data you enter into an App (suppliers, purchase orders, costs) and for reviewing inventory and cost changes the App makes at your direction.
- You agree not to misuse the Apps, attempt to access them without authorization, resell them, or use them in violation of applicable law or Shopify's terms.
- You are responsible for maintaining access to your own Shopify account and staff permissions.
6. Data and privacy
Our handling of data is described in each App's privacy policy (for Replenio, the Replenio privacy policy) and our website privacy policy.
7. Intellectual property
The Apps, including their code, design, and documentation, are owned by Veltrio Labs LLC. We grant you a limited, non-exclusive, non-transferable license to use the Apps with your Shopify store for the duration of your subscription. You retain all rights to the data you enter into the Apps.
8. Disclaimer of warranties
The Apps are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Apps will be uninterrupted or error-free.
9. Limitation of liability
To the maximum extent permitted by law, Veltrio Labs LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or related to the Apps or these Terms. Our total aggregate liability for any claim will not exceed the amounts you paid us for the relevant App in the three (3) months preceding the event giving rise to the claim.
10. Termination
You may stop using an App at any time by uninstalling it from your store. We may suspend or terminate access to an App for material breach of these Terms, after notice where practicable. Upon uninstall, data deletion follows the schedule described in the App's privacy policy.
11. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in Wyoming, and the parties consent to their jurisdiction.
12. Changes to these Terms
We may update these Terms from time to time. The current version is always available on this page with its effective date. Continued use of an App after changes take effect constitutes acceptance of the updated Terms.
